It is always a good idea to have a plan to protect your financial future. This involves securing your home, investments, savings, business, etc. for you and your family and it is beneficial for both businesses and individuals. Benefits include, without limitation, insulating assets from creditors and planning for the future. Wills provide direction to your beneficiaries as to how you wish for your assets and any other types of property to be distributed after your demise. Trusts can serve a number of different purposes and benefits, ranging from making sure specific individuals (for example, children) are properly taken care of when you are no longer there to protect and guide them; securing assets from creditors-collections, and/or possibly reducing the payment of unnecessary taxes.

Bankruptcy has been around for hundreds of years. The bankruptcy process has its own language and procedures. The key to working successfully within the bankruptcy system, whether you are the debtor or creditor, is to have someone that understands and speaks the language and knows the ways to effectively work within the bankruptcy system and deal with other attorneys, creditors, Courts and Trustees.  As either an individual or a business, it is important to know what Bankruptcy Chapters are available for filing, the pros and cons of each; and what action is in your best interest. It is necessary to consider the impact on the various areas of your life: are taxes owed (and whether returns were filed), if a divorce is in the near future or in process; etc. These factors, if not considered carefully and not having a thorough understanding of the ramifications, can have a severe impact on your life by the bankruptcy being filed, filed prematurely, filing the wrong type of bankruptcy and may leave you in a compromised state. As a creditor, it is also important to understand the bankruptcy system and process. You must know what needs to be done in order to maximize any payment that can be received or, if applicable, how to protect your property and property rights.


Business Formation and Advice, Licensing, Statutory Agent, as well as Representation for Sole Proprietors, LLC’s and Corporations

 

It is important to know, when forming a business, the various legal entities and the pros and cons of each. You should also ensure that all necessary documents are drafted and filed with the correct governmental agencies, what licenses need to be obtained and from where. It is important not to use an existing entity name that is owned by another party and that you do not violate copyright laws. Further, you want to ensure that you protect the legal entity just created by having the necessary guidance and that the rules and practices are properly followed as well as by ensuring necessary by-laws and minutes of meetings are well documented and retained.


Collections

We handle collection cases ranging from negotiating payment arrangements, settlements, lawsuits, and, in some, cases ensure the debt is written-off along with releasing a lien.

We represent taxpayers in a variety of matters with the Arizona Department of Revenue and other Arizona state governmental agencies, States other than Arizona governmental agencies, Internal Revenue Service and the various Cities throughout Arizona and the country. A resolution may include payment arrangements, offer-in-compromise or placing the case in a uncollectible status. It may also include release of a tax lien. It is essential to have someone by your side to protect you and your interests from the various governmental taxing entities that do not have the same concerns for you and your property.

We review and draft contracts ranging from employment, engagement letters, non disclosure agreements and many more. Representation includes individuals, businesses , and contractors inclusive of the Registrar of Contractors. In Arizona a contract is a legal and binding document and must meet the requirements of the law. To have a contract there has to be a “meeting of the minds.” Three conditions of a contract are: an offer, acceptance and consideration. Not all verbal contracts are enforceable. and/or may have a capped dollar amount. We also handle drafting Leases, Buy/Sell Agreements, Loans, Security Agreements, Deeds, Transfers and other documents which may need to be recorded in the various Arizona County Recorder’s offices and/or other governmental offices to best serve your interests.


Landlord-Tenant and Home Owner Association issues.

There are laws that protect the Landlord and the Tenant. These are detailed in the Arizona Residential Landlord and Tenant Act. It is important to know your rights and what may cause a violation. Landlord-Tenant is not just limited to residential properties. Businesses can also be a Tenant or a Landlord. Regardless of what role the business is in (either the Landlord or the Tenant), it is essential that its respective interests be addressed and protected.

Home owner Associations have restrictions and rules which must be followed. Violations or deviations could result in assessments or further negative actions.


Litigation and Mediation (Alternative Dispute Resolution)

Unfortunately, there may be a time where you may be a named party to a civil lawsuit. There also may be times where you may file a suit to recover damages and/or property. We represent clients from the onset. Often mediation - or Alternative Dispute Resolution may be the avenue to pursue prior to a court hearing. Mediation gives the litigating parties the opportunity to place the agreement in the hands of the Plaintiff and the Defendant rather than have a Judge decide the outcome.
